These Terms & Conditions ("Terms") govern your access to and use of the websites, content, and services offered by Lekvy Labs, Inc., a Delaware C-Corp ("Lekvy", "we", "us", "our") at lekvy.com and related websites or applications (collectively, the "Site"), including our products that help employers screen and interview candidates using automation and artificial intelligence (together with the Site, the "Services"). By accessing or using the Services, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Services.

Who these Terms cover

Some provisions apply to everyone (for example acceptable use of the Site). Other provisions apply specifically when you use the Services on behalf of a company or other legal entity as an employee, contractor, or other representative—in that case, "you" includes you personally and the organization you represent, and you confirm you have authority to bind that organization.

If you only browse the Site as an individual and do not enter into a paid or enterprise agreement, these Terms still apply to that use. A separate Customer Agreement may add or override terms for your organization's subscription.

Eligibility

You must be at least 18 years old and able to form a binding contract to use the Services on your own behalf. If you use the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

The Services

The Site provides information about Lekvy and may allow you to request demos, subscribe to updates, contact us, or create or manage accounts. Features that process candidate or job-related information are intended for business customers and their authorized users.

Specific offerings, service levels, data processing terms, and commercial conditions for paid or enterprise use are typically set out in a separate order form, subscription flow, or master services agreement between your organization and Lekvy ("Customer Agreement"). If there is a conflict between these Terms and a signed Customer Agreement, the Customer Agreement controls for that relationship.

If you are a business customer

When your organization uses Lekvy as a recruiting or interviewing platform, the following applies in addition to the rest of these Terms:

• Customer Agreement: Pricing, scope, service levels, confidentiality, data processing, security, and liability for your organization's paid or enterprise use are set out in your order form, online checkout terms, and/or master services agreement. If those documents conflict with these Terms for your organization's commercial relationship, the Customer Agreement controls.
• Your instructions and compliance: You are responsible for the lawfulness of your use of the Services, including obtaining any required consents or notices for candidates and employees, honoring data subject rights your organization must provide, and configuring the product in line with employment, anti-discrimination, and privacy laws. You will not submit sensitive categories of personal information except where the Services are designed to support that use and you have a valid legal basis.
• Authorized users: You are responsible for who you invite to your workspace and for their compliance with these Terms. Activity under your organization's account is your responsibility.
• Privacy and data processing: How we handle personal information—including when we act as a processor or service provider on your behalf—is described in our Privacy Policy (business customers and applicants). Enterprise customers may request a DPA or subprocessor information via your Lekvy contact or our contact page.

Accounts

You are responsible for maintaining the confidentiality of account credentials and for all activity under your account. Notify us promptly at our contact page if you believe your account has been compromised. We may suspend or disable accounts that violate these Terms or present security risk.

Acceptable use

You agree not to misuse the Services. Without limitation, you must not:

• Attempt to gain unauthorized access, probe or test vulnerabilities, interfere with security or performance, or bypass access controls;
• Scrape, crawl, or harvest data from the Services in bulk, or overload our systems in a way that harms availability;
• Reverse engineer, decompile, or attempt to extract source code from our software except to the extent applicable law expressly permits;
• Use the Services for any unlawful purpose, to violate third-party rights, or to build a competing product using our confidential or proprietary information;
• Use the Services in connection with recruiting practices that violate applicable employment, anti-discrimination, or privacy laws, or submit candidate information without a lawful basis.

We may investigate and suspend or terminate access where we reasonably believe these Terms have been violated.

AI-assisted features

Automated or AI-generated outputs from the Services are provided to assist human decision-making and may be incomplete or inaccurate. They are not legal, HR, or compliance advice. You are responsible for how you use outputs, including ensuring appropriate human oversight and compliance with laws and your internal policies.

Your content and feedback

You retain ownership of information and materials you submit to the Services ("Your Content"), subject to the rights you grant under a Customer Agreement or as otherwise described in our Privacy Policy. If you provide suggestions or feedback about the Services, you grant Lekvy a perpetual, irrevocable, royalty-free license to use that feedback to improve our products without obligation to you.

Fees and payment

Paid plans and subscriptions are subject to the pricing and payment terms presented at purchase or in a Customer Agreement. Payments may be processed by third-party payment providers (such as Stripe). Taxes may apply where required by law. We may change fees for renewal terms with reasonable advance notice where permitted by contract and law.

Intellectual property

The Services, including software, branding, documentation, and Site content, are owned by Lekvy or our licensors and are protected by intellectual property laws. Except as expressly permitted (for example, ordinary browsing or use enabled by your subscription), you may not copy, modify, distribute, publicly display, or create derivative works without our prior written consent.

Third-party services

The Services may integrate with or link to third-party sites or services (including scheduling, video, or authentication providers). We are not responsible for their content or practices. Your use of third-party services is governed by their terms and privacy policies.

Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, TO THE FULLEST EXTENT PERMITTED BY LAW. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, LEKVY AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS (USD $100) OR THE AMOUNTS YOU PAID LEKVY FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, IF ANY. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS; IN THOSE CASES, OUR LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

If your organization has signed a Customer Agreement with different liability caps, remedies, or exclusions for paid commercial use, those terms apply to the relationship they govern.

Indemnity

To the extent permitted by law, you will defend and indemnify Lekvy and its affiliates against any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from Your Content, your violation of these Terms, or your use of the Services in a way that infringes third-party rights or violates applicable law (including unlawful processing of candidate or employee personal information).

Privacy and cookies

Our collection and use of personal information is described in our Privacy Policy. Our use of cookies and similar technologies is described in our Cookie Policy.

Suspension and termination

We may suspend or terminate access to the Services at any time for operational, legal, or policy reasons, or if you breach these Terms. Provisions that by their nature should survive (including intellectual property, disclaimers, limitation of liability, indemnity, and governing law) will survive termination.

Export compliance

You represent that you are not located in, or ordinarily resident in, a country or region subject to comprehensive U.S. sanctions and that you are not on any U.S. government restricted-party list. You will not use the Services in violation of export control or sanctions laws.

General

These Terms constitute the entire agreement between you and Lekvy regarding the subject matter here and supersede prior discussions, except for a Customer Agreement that expressly overrides specific provisions. If any provision is held unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.

Changes

We may modify these Terms at any time. We will post the updated Terms on the Site and update the "Updated" date above. If changes are material, we will provide additional notice where appropriate. Continued use of the Services after the effective date constitutes acceptance of the revised Terms, to the extent permitted by law.

Governing law and disputes

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law principles, except where prohibited by applicable law. You agree that the state and federal courts located in Delaware have exclusive jurisdiction over disputes arising from these Terms or the Services, subject to any mandatory provisions of your local law.
